About us
Who are we
Stichting EMBO is established on November 29, 1991 and situated in Rotterdam, the Netherlands.
A Stichting is a form of Foundation existing under Dutch law. It differs from a corporation in that it has no owner(s) or shareholder(s) and exists as an entirely separate entity from its founders.
A Stichting is formed by Notarial deed which must include its Articles of Association. It may be formed by one incorporator, who does not necessarily need to have any interest in the Stichting. It may be further organised with by-laws.
A Stichting, by law, shall have a Board of Directors (“The Board”) which may consist of as few as one member. Appointment of a director may be made by outsiders or by the Board itself or a combination of the two.
A Stichting has its own legal entity and is the owner of the contributions received.
The members (i.e. expatriate employees) have no title over the Stichting or its assets except in the event the Stichting is terminated, in which case they would be entitled to any surplus available in the Fund at that time.
The relationship between the Stichting and its members, covering the terms and conditions for their contributions and entitlements, is of a contractual nature.
Once the contributions are made, they are regarded as fully vested in the Fund and the members have no entitlements other than those specified under the agreement with the Stichting.
The Stichting must keep accounts, however, they need not be audited or published. Furthermore the Stichting is not subject to government control in a manner comparable to corporations.
